These Terms of Service (“Terms”) govern access to and use of VPNresellers, including our website, reseller platform, VPN infrastructure, APIs, applications, integrations, white label software, custom-branded applications, documentation, and related services.

VPNresellers is operated by AevumGuard Ltd, Company No. 252149, a company incorporated in the Republic of Seychelles with its registered office at 306 Victoria House, Victoria, Mahé, Seychelles.

In these Terms, “VPNresellers”, “AevumGuard”, “we”, “us” and “our” refer to AevumGuard Ltd unless expressly stated otherwise.

Unless expressly agreed otherwise in writing, your contract for the VPNresellers Services is with AevumGuard Ltd.

Please read these Terms carefully.

By creating a VPNresellers account, accessing or using our Services, adding credit to an account, using our API, distributing applications that rely on our Services, or otherwise using VPNresellers, you agree to these Terms.

If you use VPNresellers on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you,” “your,” and “Reseller” refer to that organization.

If you do not agree to these Terms, you may not use the Services.

1. About VPNresellers

VPNresellers is a business-to-business white label VPN infrastructure platform operated by AevumGuard Ltd, Seychelles.

AevumGuard Ltd provides and operates the VPNresellers Services, including the reseller platform, VPN infrastructure, APIs, applications and related technology.

We provide technology that allows businesses and other authorized partners (“Resellers”) to offer VPN services to their own customers under their own brands.

Depending on the applicable service, VPNresellers may provide:

• managed VPN infrastructure;
• VPN servers and network capacity;
• VPN protocols;
• VPN account provisioning;
• reseller management tools;
• APIs;
• VPN applications;
• brandable or white label applications;
• custom-branded applications;
• integrations with third-party billing and commerce platforms;
• technical documentation;
• account-management tools; and
• related services.

Unless expressly stated otherwise, VPNresellers does not act as the merchant, retailer, or direct VPN provider to a Reseller's customers.

The Reseller operates its own business and remains responsible for its relationship with its customers.

2. Definitions

For these Terms:

“Account” means a VPNresellers reseller account.

“Active VPN Account” means an End User VPN account that has an active status within VPNresellers and is therefore eligible to use the applicable VPN service.

“API” means any application programming interface made available by VPNresellers.

“Documentation” means technical, API, integration, support, or other documentation supplied by VPNresellers.

“End User” means a customer or user receiving a VPN service through a Reseller.

“Reseller” means the person or organization maintaining the VPNresellers Account and offering services to End Users.

“Reseller Services” means products or services that a Reseller offers to its own customers using VPNresellers technology.

“Services” means the VPNresellers website, reseller platform, VPN infrastructure, network, applications, APIs, integrations, software, Documentation, and related services.

“Customer Content” means logos, trademarks, designs, text, images, software, configurations, customer information, or other materials supplied or controlled by a Reseller.

3. Business-to-business service

VPNresellers is primarily intended for commercial and professional use.

A Reseller operates as an independent business.

Nothing in these Terms creates:

• an employment relationship;
• a partnership;
• a joint venture;
• an agency relationship;
• a franchise;
• a fiduciary relationship; or
• authority for either party to bind the other,

unless expressly agreed in writing.

Resellers determine their own:

• retail pricing;
• customer acquisition;
• business model;
• subscription lengths;
• customer contracts;
• marketing;
• branding;
• refund policies;
• support arrangements; and
• commercial strategy,

subject to these Terms and applicable law.

4. Your relationship with End Users

You are responsible for your relationship with your End Users.

Unless VPNresellers expressly agrees otherwise in writing, you are responsible for:

• marketing your VPN service;
• setting your retail prices;
• collecting payments from your customers;
• customer billing;
• applicable taxes;
• refunds to your customers;
• chargebacks;
• customer support;
• consumer-law obligations;
• providing your own customer-facing terms;
• providing appropriate privacy disclosures;
• handling customer complaints;
• managing subscriptions;
• suspending or terminating customers where appropriate; and
• ensuring that your End Users comply with applicable law and acceptable-use requirements.

You must not represent that VPNresellers is the seller, merchant of record, employer, partner, or agent of your business.

You may accurately describe that your VPN infrastructure or technology is provided by VPNresellers where you choose to do so.

5. Responsibility for End Users

You are responsible for activity performed through VPN accounts that you create or manage.

You must take commercially reasonable measures to ensure that your End Users comply with:

• applicable law;
• these Terms where relevant;
• any applicable Acceptable Use Policy;
• reasonable network-use restrictions; and
• rules communicated to you concerning use of the Services.

A violation by an End User may be treated as a violation by the Reseller where you knew or reasonably should have known of the activity and failed to take appropriate action.

Where reasonably practicable, we will attempt to address abuse affecting a specific End User account before restricting an entire Reseller Account.

However, VPNresellers may take broader action where necessary to protect the Services, other users, third parties, or our infrastructure.

6. Account registration

You must provide accurate and reasonably complete information when creating and maintaining your Account.

You are responsible for maintaining the accuracy of your Account information.

You may not:

• impersonate another person or organization;
• create an Account using fraudulent information;
• use an Account for deceptive purposes;
• create Accounts to circumvent restrictions or enforcement actions; or
• permit an unrelated third party to take control of your Account without authorization.

VPNresellers may request reasonable verification information where required for:

• fraud prevention;
• payment verification;
• security;
• sanctions compliance;
• abuse investigations; or
• legal compliance.

7. Account and credential security

You are responsible for protecting:

• Account passwords;
• API keys;
• authentication tokens;
• application credentials;
• administrative access;
• integration credentials; and
• other security credentials associated with your Account.

Credentials must not be publicly disclosed.

You must promptly notify VPNresellers if you know or reasonably suspect that:

• Account credentials have been compromised;
• an API key has been exposed;
• unauthorized access has occurred; or
• your Account is being used without authorization.

VPNresellers may reset, revoke, rotate, or temporarily disable credentials where reasonably necessary to protect security.

You remain responsible for activity authenticated using your credentials until you notify us of unauthorized access, subject to applicable law.

8. API access

VPNresellers may provide API access allowing Resellers to automate parts of their service.

You may use the API to build and operate legitimate Reseller Services.

You must:

• follow the applicable API Documentation;
• protect API credentials;
• implement reasonable error handling;
• comply with applicable rate limits;
• avoid unnecessary or abusive requests;
• use API responses for legitimate service purposes; and
• maintain reasonable security around integrations.

You may not:

• attempt to bypass authentication;
• circumvent API rate limits;
• interfere with the API;
• probe for vulnerabilities without authorization;
• reverse engineer non-public functionality;
• intentionally overload API infrastructure;
• obtain data you are not authorized to access; or
• use the API to interfere with another Reseller.

VPNresellers may implement or modify reasonable API limits where necessary for:

• security;
• reliability;
• capacity management;
• abuse prevention; or
• platform stability.

We will seek to avoid materially disrupting legitimate integrations where reasonably practicable.

9. VPN account provisioning

Resellers may create, renew, suspend, reactivate, modify, or terminate VPN accounts using the reseller platform, supported integrations, or API.

You are responsible for ensuring that instructions sent through your Account accurately reflect the service you intend to provide to your customer.

For example, if your customer cancels their subscription, you are responsible for suspending or terminating the relevant VPN account where required.

VPNresellers is not responsible for additional charges caused by a Reseller failing to change the status of an account when its own customer relationship changes.

10. Pricing

Current standard pricing is published on the VPNresellers pricing page and may also be displayed within the reseller dashboard.

Different pricing may apply where:

• volume thresholds are reached;
• custom pricing has been agreed;
• additional services are purchased;
• custom branding is ordered; or
• an individual agreement or order applies.

Where a separately agreed written quotation, order form, enterprise agreement, or commercial agreement specifies pricing, that pricing controls for the applicable service.

Unless expressly stated otherwise, public pricing is exclusive of applicable taxes.

VPNresellers may change generally available pricing prospectively.

For material changes affecting existing Resellers, we will provide reasonable advance notice where commercially practicable.

Changes do not alter charges that have already been validly incurred.

11. Credit-based billing

VPNresellers generally operates using prepaid Account credit.

You add credit to your Account and charges are deducted from that balance as applicable Services are used.

Unless otherwise stated:

• credits do not expire;
• credit has no cash value outside VPNresellers;
• credit may not be transferred between unrelated Resellers without our approval; and
• credit is used to pay charges incurred through the Account.

The Account dashboard may display:

• available credit;
• charges;
• Active VPN Accounts;
• billing history; and
• estimated usage.

You are responsible for maintaining sufficient Account credit.

12. Active-account billing

VPNresellers charges Resellers only for VPN accounts that are in an Active status, subject to the applicable pricing plan.

Charges are calculated on a daily basis using the applicable wholesale rate.

Accounts that are properly suspended or disabled within the VPNresellers system are not charged as Active VPN Accounts.

Resellers therefore control when an End User account should remain active, subject to technical processing time and any applicable integration behavior.

It is the Reseller's responsibility to ensure that the appropriate account status is set.

The reseller dashboard and VPNresellers' records are the authoritative source for calculating service usage and credit deductions, absent manifest error.

13. Volume pricing

Where VPNresellers offers volume-based pricing, eligibility may depend on criteria published on the pricing page or agreed separately.

Unless otherwise specified, the appropriate pricing tier is determined using the billing rules applicable to your Account.

Volume thresholds, tiers, and prices may change prospectively.

Any custom pricing agreed directly with VPNresellers takes precedence over public standard pricing for the period covered by that agreement.

14. Adding credit

Minimum credit additions or available payment methods may vary.

Supported payment methods may include third-party payment processors, bank transfers, cryptocurrency, or other methods shown in your Account.

AevumGuard Ltd may appoint affiliated or third-party companies to collect payments and provide billing services on its behalf.

SpiderSilk Limited, a company incorporated in Hong Kong, currently provides certain payment collection, billing and financial administration services for VPNresellers.

As a result, SpiderSilk Limited and/or its payment processing providers may appear on payment pages, invoices, receipts, bank records or card statements.

Payment successfully made through a payment method or payment collection provider authorized by AevumGuard Ltd will satisfy the corresponding payment obligation to AevumGuard Ltd.

Payment processing may also be subject to separate terms imposed by the relevant payment provider.

VPNresellers is not responsible for delays caused solely by:

• payment processors;
• banks;
• blockchain networks;
• chargeback systems; or
• other third-party payment infrastructure.

Credit is normally added once payment has been successfully confirmed.

15. Credit balance and service interruption

You are responsible for maintaining sufficient credit to cover your active services.

VPNresellers may send low-balance notifications as a convenience.

You should not rely solely on these notifications.

If your credit balance reaches zero or otherwise becomes insufficient, VPNresellers may:

• provide a temporary grace period;
• restrict creation or renewal of accounts;
• suspend affected VPN accounts;
• suspend paid add-ons; or
• restrict parts of the Services.

Any grace period is intended to prevent accidental interruption and does not constitute an obligation to provide services without payment indefinitely.

Where practicable, service will be restored after sufficient credit is added and any other Account issue is resolved.

16. Refunds and unused credit

Credit already consumed through valid use of the Services is non-refundable except where required by law or expressly agreed otherwise.

Unused Account credit does not expire.

Requests concerning refunds of unused credit may be considered by VPNresellers on a case-by-case basis.

Nothing in this section limits any refund or cancellation right that cannot legally be excluded.

Fees for custom work, third-party expenses, custom branding, development, certificates, store fees, or other specially commissioned services may be subject to separate refund rules communicated when the service is ordered.

17. No minimum commitment for standard service

Unless otherwise stated for a particular paid feature or separately agreed arrangement, the standard VPNresellers service does not require a fixed minimum term.

A Reseller may stop creating or maintaining Active VPN Accounts at any time.

Existing charges already incurred remain payable.

Certain services may carry separate terms.

For example, custom branding or other custom services may be offered subject to:

• payment for a period in advance (such as 12 months of custom branding paid upfront, without any contract);
• a minimum balance;
• setup requirements;
• development lead times; or
• other terms presented when ordered.

Those additional terms form part of these Terms for the applicable service.

18. Reseller retail pricing

You decide what you charge your own End Users.

You may offer, for example:

• daily subscriptions;
• weekly subscriptions;
• monthly subscriptions;
• annual subscriptions;
• multi-year subscriptions;
• bundles; or
• other lawful commercial arrangements.

VPNresellers does not guarantee your:

• retail margin;
• customer acquisition cost;
• conversion rate;
• profitability;
• revenue;
• customer retention; or
• business success.

Any revenue, margin, or profit examples published by VPNresellers are illustrative only and are not financial guarantees.

19. White label applications

VPNresellers may provide applications that allow Resellers to distribute VPN access under their own brand or as part of their own service.

The exact functionality, availability, protocols, platforms, and distribution methods supported may change over time.

The underlying VPNresellers software, code, infrastructure, and technology remain owned by VPNresellers or our licensors.

Except where expressly permitted, a Reseller does not acquire ownership of VPNresellers source code or platform technology.

20. Custom branding

Certain Resellers may purchase custom application branding.

Custom branding may include items such as:

• logos;
• application icons;
• brand colors;
• application names;
• visual assets; and
• other supported branding elements.

You represent that you have all necessary rights to any branding materials you provide.

VPNresellers may refuse branding that:

• infringes intellectual-property rights;
• impersonates another company;
• is unlawful;
• is fraudulent;
• is deceptive;
• contains malware or harmful content; or
• would reasonably expose VPNresellers or an app-distribution platform to liability.

Custom branding does not transfer ownership of the underlying application technology.

21. App stores and third-party distribution platforms

Applications may depend on third-party platforms including app stores and operating-system providers.

These third parties may independently:

• review applications;
• change their policies;
• modify technical requirements;
• reject releases;
• delay approvals;
• remove applications;
• change SDK requirements;
• change operating-system behavior; or
• restrict VPN functionality.

VPNresellers cannot guarantee:

• app-store approval;
• review times;
• continued listing;
• continued support for particular APIs;
• compatibility with every future operating-system version; or
• decisions made by Apple, Google, Microsoft, Amazon, or another third party.

We will use commercially reasonable efforts to maintain supported applications but are not responsible for decisions outside our reasonable control.

22. Third-party integrations

VPNresellers may provide integrations for platforms such as:

• WHMCS;
• WooCommerce;
• WordPress;
• Wix;
• HostBill;
• Blesta;
• payment systems; and
• other third-party services.

Third-party platforms are independent from VPNresellers.

Their functionality, APIs, pricing, terms, and availability may change without our control.

Unless expressly agreed otherwise, VPNresellers does not guarantee that a third-party platform will remain permanently compatible with a VPNresellers integration.

We may update integrations as reasonably necessary to maintain compatibility.

23. Acceptable use

You must not use, facilitate, encourage, or knowingly permit use of the Services for unlawful or abusive purposes.

Prohibited activity includes using the Services to:

• violate applicable law;
• distribute child sexual abuse material or other illegal sexual-abuse material;
• conduct unauthorized access to systems or accounts;
• deploy malware;
• operate botnets;
• conduct credential theft;
• conduct phishing;
• intentionally spread viruses, ransomware, or malicious software;
• conduct denial-of-service attacks;
• attack or compromise networks or systems;
• send unlawful spam or unsolicited bulk communications;
• conduct fraud;
• commit identity theft;
• facilitate payment fraud;
• intentionally infringe intellectual-property rights on a systematic or commercial scale;
• threaten or materially interfere with the security or operation of the Services;
• circumvent technical restrictions;
• circumvent sanctions or export restrictions applicable to the Services;
• resell access outside the authorized Reseller model;
• obtain unauthorized access to another Reseller's information; or
• use the Services in a manner that creates an unreasonable security or operational risk.

This list is not exhaustive.

An activity may still violate these Terms if it is illegal, fraudulent, malicious, or materially harmful even if not specifically listed above.

24. Abuse reports

VPNresellers may receive complaints regarding activity associated with VPN infrastructure.

Because VPNresellers operates a zero-logs VPN service, we do not maintain historical VPN activity logs that identify browsing activity by End Users.

However, where we receive credible information concerning ongoing misuse, we may take proportionate steps to protect the Services and third parties.

Where appropriate, we may:

• contact the relevant Reseller;
• request cooperation;
• restrict a specific VPN account;
• restrict particular technical functionality;
• block clearly malicious network activity;
• suspend affected services; or
• terminate an Account in serious cases.

Our response depends on factors including:

• severity;
• credibility of the report;
• legal requirements;
• security risks;
• recurrence; and
• available technical information.

25. Zero-logs VPN service

VPNresellers operates a zero-logs VPN infrastructure.

We do not retain historical records of End Users':

• browsing history;
• websites visited;
• DNS queries;
• traffic contents;
• VPN destination IP addresses;
• source IP addresses associated with historical VPN activity;
• connection timestamps;
• disconnection timestamps;
• session duration;
• individual VPN bandwidth histories; or
• VPN activity profiles.

Further details are described in our Privacy Policy.

Nothing in these Terms requires VPNresellers to create or retain VPN activity logs that we otherwise do not maintain.

26. RAM-only infrastructure

VPNresellers' VPN infrastructure uses RAM-only server architecture.

VPN service operations are designed so that VPN activity is not written to persistent server storage for historical logging.

Information necessarily processed in volatile memory for operation of a live connection is not retained as a historical VPN activity record.

The technical operation of our zero-logs and RAM-only infrastructure is described more fully in our Privacy Policy and technical materials.

27. Suspension

VPNresellers may suspend or restrict all or part of the Services if we reasonably determine that:

• you or an End User has materially violated these Terms;
• use of the Services creates a security threat;
• use materially harms infrastructure or other customers;
• fraudulent activity is occurring;
• payment obligations have not been met;
• Account credit is insufficient;
• Account information is materially fraudulent;
• an Account has been compromised;
• suspension is required by applicable law;
• a competent authority validly requires suspension;
• use creates significant legal liability; or
• immediate action is reasonably necessary to protect the Services or third parties.

Where appropriate and reasonably practicable, we will attempt to provide notice and an opportunity to resolve the issue.

VPNresellers may suspend immediately where delay could reasonably:

• create a security risk;
• enable continuing illegal activity;
• harm third parties;
• threaten network availability;
• increase fraud losses; or
• violate law.

We will seek to limit suspension to the affected service or Account where reasonably possible.

28. Abuse appeals

If you believe your Account or an End User account was incorrectly suspended for abuse, you may contact:

We may request information reasonably necessary to investigate.

Submitting an appeal does not automatically restore suspended service.

We will review legitimate appeals in good faith.

29. Service availability

VPNresellers is designed to provide highly available infrastructure, but no internet service can guarantee uninterrupted operation.

Unless a separate Service Level Agreement expressly applies, we do not guarantee:

• 100% uptime;
• uninterrupted availability;
• a specific connection speed;
• availability of every server location at all times;
• availability of a particular IP address;
• compatibility with every website or service;
• uninterrupted access in countries that block VPN technology; or
• uninterrupted support for every VPN protocol.

Maintenance, security work, network issues, upstream-provider failures, attacks, government restrictions, hardware failures, and other events may affect availability.

30. Server locations and network changes

VPNresellers may add, replace, relocate, temporarily disable, or remove:

• server locations;
• servers;
• network providers;
• IP ranges;
• protocols;
• ports;
• routing arrangements; or
• technical features.

We may make such changes for reasons including:

• performance;
• security;
• abuse prevention;
• supplier availability;
• sanctions;
• regulatory requirements;
• capacity;
• reliability; or
• changing demand.

The server network advertised at a particular moment is not a contractual guarantee that every specific location will remain available indefinitely.

31. Restricted networks and circumvention technologies

VPNresellers may provide protocols or technology intended to improve connectivity in restrictive network environments.

Such technologies can be affected by:

• government filtering;
• deep packet inspection;
• ISP restrictions;
• censorship systems;
• firewall changes; and
• other measures outside our control.

We do not guarantee that any protocol, including technologies intended for restrictive networks, will permanently bypass every network restriction.

VPNresellers may modify these technologies as restrictions evolve.

32. Reseller legal compliance

You are responsible for determining whether operating, marketing, or selling your Reseller Services is lawful in the jurisdictions in which you conduct business.

You are responsible for compliance with laws applicable to your own business, which may include:

• consumer-protection law;
• privacy law;
• electronic-commerce law;
• tax law;
• advertising requirements;
• subscription-renewal rules;
• sanctions;
• export-control rules;
• telecommunications requirements; and
• local VPN restrictions.

VPNresellers does not provide legal, tax, or regulatory advice.

33. Sanctions and export controls

You must not use the Services where doing so would cause VPNresellers to violate applicable economic sanctions, export controls, or trade restrictions.

You represent that, to the extent required by applicable law, you are not:

• subject to applicable asset-blocking sanctions;
• acting on behalf of a prohibited party; or
• using the Services in a transaction prohibited by applicable sanctions or export law.

VPNresellers may restrict access where required to comply with applicable law.

34. Privacy and data protection

Our processing of personal information is described in the VPNresellers Privacy Policy.

Depending on the processing activity:

• VPNresellers may act as a controller for information relating to our own reseller relationship; and
• VPNresellers may act as a processor or service provider when processing certain End User account information on behalf of a Reseller.

Where data-protection law requires a Data Processing Agreement, the parties will enter into or otherwise adopt appropriate data-processing terms.

Resellers remain responsible for providing legally required privacy information to their own customers.

35. End User data

You represent that you have a lawful basis or other lawful authorization to provide any End User personal data to VPNresellers.

You must not send VPNresellers personal information that is unnecessary for providing the applicable Service.

You are responsible for ensuring that your collection and use of End User information complies with applicable law.

VPNresellers may process End User account information only as necessary to:

• provide the Services;
• secure the Services;
• follow documented Reseller instructions;
• comply with law; and
• perform other processing described in applicable privacy or data-processing terms.

36. Confidentiality

Each party may receive non-public information from the other that is reasonably understood to be confidential.

Confidential Information may include:

• API credentials;
• non-public pricing;
• technical information;
• security information;
• business plans;
• non-public product information;
• customer information; and
• proprietary materials.

The receiving party must:

• use Confidential Information only for purposes related to the business relationship;
• protect it using reasonable care; and
• not disclose it to third parties except as permitted by these Terms.

Confidentiality obligations do not apply to information that:

• becomes public without breach;
• was already lawfully known;
• is independently developed without use of the Confidential Information; or
• is lawfully obtained from another source without confidentiality restrictions.

A party may disclose Confidential Information where legally required, subject to applicable law.

37. VPNresellers intellectual property

VPNresellers and its licensors retain all rights in:

• the VPNresellers platform;
• VPN applications;
• APIs;
• source code;
• object code;
• infrastructure technology;
• documentation;
• website;
• designs;
• trademarks;
• databases;
• integrations;
• software;
• server configuration;
• protocols implemented by us; and
• other proprietary technology.

Except for the limited rights expressly provided by these Terms, no intellectual-property rights are transferred to a Reseller.

38. Limited license

Subject to compliance with these Terms and payment of applicable charges, VPNresellers grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your authorized Reseller business.

Where white label distribution is supported, this license includes the right to provide supported VPN applications to your End Users in accordance with the applicable Documentation and branding arrangement.

You may not:

• sell VPNresellers source code;
• falsely claim ownership of VPNresellers technology;
• remove required proprietary notices;
• sublicense the underlying platform except through authorized End User access;
• copy proprietary technology except where expressly permitted;
• reverse engineer the Services except where applicable law expressly prohibits such restriction; or
• use VPNresellers intellectual property to create a misleading impression of corporate ownership or endorsement.

39. Your branding and intellectual property

You retain ownership of Customer Content you provide to VPNresellers.

You grant VPNresellers a limited license to use Customer Content solely as reasonably necessary to:

• provide your branded Services;
• create custom applications;
• maintain applications;
• provide support;
• display your brand within authorized software; and
• perform the services you request.

You represent that you have sufficient rights to provide Customer Content for these purposes.

40. Feedback

If you voluntarily provide product ideas, suggestions, or feedback to VPNresellers, we may use that feedback to improve our Services without restriction or payment to you.

This does not transfer ownership of your separate pre-existing intellectual property or Confidential Information.

41. Beta and experimental features

VPNresellers may make preview, beta, experimental, early-access, or test functionality available.

Such features may:

• contain bugs;
• change materially;
• be discontinued;
• have limited support;
• have incomplete Documentation; or
• behave differently from production Services.

Unless expressly stated otherwise, beta or experimental functionality is provided without an uptime or continued-availability commitment.

You should not rely on experimental features for critical production functions unless we have expressly indicated that they are production-ready.

42. Changes to the Services

VPNresellers continually develops its platform.

We may:

• add functionality;
• improve functionality;
• replace technology;

• change integrations;
• modify protocols;
• change applications; or
• change infrastructure.

Where a change would materially affect commonly used production functionality, we will use reasonable efforts to provide advance notice or a migration path where practical.

Security changes and emergency fixes may be implemented immediately.

43. Documentation

You must use the Services in accordance with applicable Documentation.

Documentation may be updated as the platform changes.

Where there is a direct conflict between these Terms and Documentation, these Terms control unless the Documentation expressly states that it establishes service-specific contractual terms.

44. Support

VPNresellers may provide technical and account support through channels made available on the website or dashboard.

Support scope and response times may vary depending on:

• the issue;
• reseller tier;
• applicable service;
• urgency;
• Account status; and
• any separate support arrangement.

Unless separately agreed, published response targets are service objectives rather than guaranteed Service Level Agreements.

45. Service changes caused by third parties

Parts of the Services may depend on:

• hosting providers;
• datacenters;
• network carriers;
• internet exchanges;
• domain providers;
• certificate authorities;
• cloud services;
• app stores;
• operating systems;
• payment processors; and
• other suppliers.

VPNresellers is not responsible for failures caused exclusively by third parties outside our reasonable control.

We will use commercially reasonable efforts to mitigate significant supplier-related disruptions.

46. No guarantee of access to third-party services

VPN technology may change how third-party websites or services perceive a user's location or IP address.

Third parties may independently block:

• VPN IP addresses;
• datacenter IP addresses;
• particular protocols;
• streaming access;
• account access; or
• VPN traffic generally.

VPNresellers does not guarantee that the Services will provide access to any particular:

• website;
• application;
• streaming provider;
• game;
• financial service;
• marketplace; or
• third-party platform.

47. Security

VPNresellers uses technical and organizational security measures appropriate to the nature of the Services.

However, no internet-connected system can be guaranteed to be completely secure.

You are responsible for maintaining reasonable security within systems under your control, including:

• reseller credentials;
• websites;
• billing platforms;
• API integrations;
• End User authentication;
• administrator devices; and
• third-party applications.

48. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

VPNRESELLERS DISCLAIMS WARRANTIES THAT MAY OTHERWISE APPLY, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT; AND
• QUIET ENJOYMENT.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL ALWAYS BE UNINTERRUPTED;
• EVERY SERVER WILL ALWAYS BE AVAILABLE;
• THE SERVICES WILL ALWAYS BE ERROR-FREE;
• EVERY THIRD-PARTY SERVICE WILL BE ACCESSIBLE;
• EVERY PROTOCOL WILL WORK ON EVERY NETWORK;
• THIRD PARTIES WILL NOT BLOCK VPN CONNECTIONS; OR
• THE SERVICES WILL MEET EVERY PARTICULAR BUSINESS REQUIREMENT.

NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

49. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER VPNRESELLERS NOR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, OR SUPPLIERS WILL BE LIABLE FOR:

• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• SPECIAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• EXEMPLARY OR PUNITIVE DAMAGES;
• LOST PROFITS;
• LOST REVENUE;
• LOST BUSINESS;
• LOST CUSTOMERS;
• LOST OPPORTUNITIES;
• LOSS OF GOODWILL;
• BUSINESS INTERRUPTION;
• LOSS OF ANTICIPATED SAVINGS; OR
• COSTS OF SUBSTITUTE SERVICES,

ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF THE POSSIBILITY OF SUCH DAMAGES WAS KNOWN.

50. Liability cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VPNRESELLERS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID OR HAD DEDUCTED FROM YOUR VPNRESELLERS ACCOUNT FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Where you have used only free Services, VPNresellers' aggregate liability will be limited to the minimum amount permitted under applicable law.

The existence of multiple claims does not increase this limit.

51. Exceptions to liability limitations

Nothing in these Terms excludes or limits liability to the extent such liability cannot legally be excluded or limited.

Depending on applicable law, this may include liability for:

• fraud;
• fraudulent misrepresentation;
• wilful misconduct;
• death or personal injury caused by negligence; or
• other liability that applicable law prohibits from being excluded.

52. Reseller indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless VPNresellers and its affiliates, officers, directors, employees, and contractors against third-party claims, liabilities, losses, damages, judgments, penalties, and reasonable legal costs arising from:

• your Reseller Services;
• your Customer Content;
• your marketing or advertising;
• your relationship with your End Users;
• your violation of applicable law;
• your material breach of these Terms;
• your infringement of third-party intellectual-property rights;
• misuse of the Services by you; or
• unlawful activity by your End Users where you knew or reasonably should have known of that activity and failed to take appropriate action.

You are not required to indemnify VPNresellers to the extent a claim was caused by VPNresellers' own unlawful conduct.

53. Intellectual-property claims involving VPNresellers technology

If VPNresellers reasonably believes that an unmodified portion of the Services supplied by us infringes a third-party intellectual-property right, VPNresellers may, at its option:

• modify the affected Service;
• obtain the right to continue providing it;
• replace it with substantially equivalent functionality; or
• discontinue the affected functionality.

This section does not apply to claims arising from:

• Customer Content;
• Reseller modifications;
• combinations not supplied or required by VPNresellers;
• unauthorized use;
• use contrary to Documentation; or
• continued use after VPNresellers has supplied a reasonable non-infringing alternative.

54. Termination by the Reseller

Unless a separate commitment applies, you may stop using the standard Services at any time.

You may:

• suspend your End User accounts;
• cease creating new accounts; and
• request closure of your Reseller Account.

Account closure does not eliminate:

• charges already incurred;
• unresolved disputes;
• legal obligations;
• abuse investigations;
• indemnification obligations; or
• other provisions that expressly or by their nature survive termination.

Unused credit is handled under Section 16.

55. Termination by VPNresellers

VPNresellers may terminate your Account where:

• you materially breach these Terms and fail to remedy the breach after reasonable notice where remediation is appropriate;
• serious or repeated abuse occurs;
• fraudulent activity occurs;
• use of the Services creates unacceptable security risk;
• continued service would violate applicable law;
• you materially interfere with the Services;
• you attempt to compromise VPNresellers infrastructure; or
• another circumstance exists that legally justifies termination.

Certain serious violations may justify immediate termination.

Where practicable, VPNresellers will prefer proportionate enforcement over unnecessary Account-wide termination.

56. Effect of termination

Following termination:

• your right to use the Services ends;
• API credentials may be revoked;
• VPN accounts may cease functioning;
• white label service access may end;
• custom applications may no longer connect to VPNresellers infrastructure; and
• outstanding amounts remain due.

You are responsible for managing your customer relationships resulting from termination of your Reseller Account.

VPNresellers is not responsible for refund obligations you owe to your End Users.

57. Survival

Sections that by their nature should survive termination will remain effective.

These include provisions concerning:

• accrued payment obligations;
• intellectual property;
• confidentiality;
• disclaimers;
• limitation of liability;
• indemnification;
• dispute obligations;
• applicable law;
• and other provisions intended to survive.

58. Government and legal requests

VPNresellers may be required to respond to valid legal orders.

We evaluate requests in accordance with applicable law.

Nothing in these Terms requires VPNresellers to disclose information that we do not possess.

Because VPNresellers operates a zero-logs VPN infrastructure, we cannot provide historical VPN browsing activity that was never collected or retained.

We may disclose other information we lawfully possess where legally required.

59. Force majeure

Neither party will be liable for delay or failure caused by events reasonably outside its control, except that this does not excuse payment obligations already incurred.

Such events may include:

• natural disasters;
• war;
• terrorism;
• civil unrest;
• widespread internet failures;
• major carrier outages;
• datacenter failures;
• government action;
• sanctions;
• labor disputes;
• epidemics or pandemics;
• power-grid failures;
• severe cyberattacks;
• denial-of-service attacks;
• failures of essential third-party infrastructure; or
• other comparable events outside reasonable control.

The affected party should take commercially reasonable steps to mitigate the impact.

60. Changes to these Terms

VPNresellers may update these Terms to reflect changes in:

• the Services;
• technology;
• commercial practices;
• legal requirements;
• security needs; or
• our business.

The current version will be published at:

The “Last updated” date identifies the latest revision.

Where a change materially reduces an existing Reseller's rights or materially increases obligations, we will use reasonable efforts to provide advance notice where appropriate.

Continued use after the effective date of revised Terms constitutes acceptance of the revised Terms.

Changes will not retroactively alter rights or obligations that have already accrued unless required by law or expressly agreed.

61. Order of precedence

The VPNresellers contractual framework may include:

1. a separately signed agreement or order form;
2. service-specific commercial terms;
3. these Terms;
4. the Privacy Policy;
5. applicable service-specific policies;
6. the Documentation.

If two documents directly conflict, the document higher in this order controls for that conflict unless expressly stated otherwise.

A separately negotiated written agreement signed by authorized representatives may override these Terms for the services covered by that agreement.

62. Assignment

You may not assign or transfer your rights or obligations under these Terms to another person or entity without VPNresellers' consent, except as part of a bona fide merger, acquisition, or sale of substantially all relevant business assets where the successor agrees to assume these obligations and is legally eligible to use the Services.

VPNresellers may assign these Terms as part of:

• a corporate restructuring;
• merger;
• acquisition;
• financing;
• sale of the business; or
• transfer to an affiliate or successor.

Assignment does not reduce accrued contractual rights.

63. No waiver

Failure by either party to enforce a provision of these Terms does not waive that party's right to enforce it later.

A waiver is effective only for the specific matter for which it is given.

64. Severability

If a provision of these Terms is found invalid or unenforceable, it will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions will continue in effect.

65. Entire agreement

These Terms, together with documents incorporated into them and any applicable separately agreed commercial terms, constitute the agreement concerning use of the Services.

They replace prior general statements or understandings concerning the same subject matter, except for separately executed agreements that expressly remain in effect.

66. Electronic communications

You agree that VPNresellers may provide contractual, Account, billing, security, and service communications electronically.

Communications may be delivered through:

• email;
• the reseller dashboard;
• the website;
• support systems; or
• other reasonable electronic channels.

You are responsible for maintaining a valid contact email address for your Account.

68. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with these Terms or the Services shall be governed by and construed in accordance with the laws of the Republic of Seychelles, without regard to conflict-of-law principles.

Unless otherwise required by applicable mandatory law or agreed separately in writing, the courts of the Republic of Seychelles shall have jurisdiction over disputes arising out of or relating to these Terms or the Services.

Where you have entered into a separately executed agreement with AevumGuard Ltd, the governing-law and dispute-resolution provisions contained in that agreement will apply.

Nothing in this section removes or limits rights under mandatory law that cannot legally be excluded by agreement.

69. English language

These Terms may eventually be translated for convenience.

Unless mandatory law requires otherwise, the English version is the authoritative version in the event of a conflict between translations.

Yes. VPNresellers may restrict or suspend affected End User or Reseller services where required for security, abuse prevention, legal compliance, non-payment, or protection of the platform.

Does VPNresellers operate a zero-logs VPN service?

Yes.

Does VPNresellers log VPN browsing activity?

No.

Does VPNresellers use RAM-only VPN servers?

Yes.

Does VPNresellers retain historical VPN browsing activity on server storage?

No.

Who owns VPNresellers software and infrastructure?
